Terms of Service

1. Acceptance

By accessing the SmartNetra website, joining its waitlist, or using Simino Social, you agree to these Terms of Service. If you accept on behalf of an organization, you confirm you have authority to bind it. If you do not agree, do not use the services.

The product-specific terms are also available at Simino Social Terms of Service. If these terms and the product-specific terms differ, the more specific Simino Social provision applies to use of Simino Social.

2. Definitions and operator

SmartNetra is the AI product studio of SIMINO LABTEST PRIVATE LIMITED. Simino Social, “Company”, “we”, “us” or “our” means SIMINO LABTEST PRIVATE LIMITED as operator of the Simino Social platform. “Connected Account” means a Facebook Page, Instagram Business or Creator account, YouTube channel or other third-party account you authorize. “Your Content” means captions, titles, descriptions, photos, videos and other material you upload or create.

3. Nature of Simino Social

Simino Social is a publishing tool. You compose content, attach media, select Connected Accounts, and request immediate or scheduled publication. We then call each platform’s official API on your behalf using the authorization you granted.

Simino Social is an independent tool. It is not affiliated with, endorsed by, sponsored by or operated in partnership with Meta Platforms, Inc. or Google LLC.

4. Eligibility and account security

You must be at least 18 years old, legally capable of entering a contract, and authorized to publish to every Connected Account you add. You are responsible for securing your email account, Simino Social account and workspace, inviting only trusted members, and keeping account information accurate.

5. Connecting third-party accounts

Account connection uses each platform’s official authorization flow. You enter credentials on that platform’s website, never ours. We receive a revocable token limited to the permissions you approve and never receive your password. You may disconnect an account in Simino Social or revoke access directly at the platform.

6. Third-party platform terms

Your use of Connected Accounts remains governed by the Meta Terms of Service, Instagram Terms of Use, YouTube Terms of Service and other applicable platform policies. By connecting YouTube, you agree to the YouTube Terms of Service, and Google’s Privacy Policy applies to data Google receives.

A platform may reject, remove, restrict or age-gate content; expire tokens; change APIs or limits; or suspend accounts under its own rules.

7. Scheduling and publishing

Scheduling is a request, not a guarantee. Publication depends on platform availability, valid authorization, content compliance, technical limits and rate limits. Each destination is delivered independently, so a post may succeed on one platform and fail on another.

8. Your Content and license

You retain ownership of Your Content. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, transmit and reformat it solely to operate Simino Social and deliver it to the accounts you select. You confirm you hold all rights required to publish it. We do not use Your Content to train machine-learning models and do not sell it.

9. Acceptable use

You must not publish unlawful, deceptive, infringing, hateful or abusive content; use accounts you do not control; operate spam or coordinated inauthentic networks; evade platform limits or review; scrape or reverse engineer the service; upload malware; interfere with security; or access another workspace’s data.

10. Platform-policy compliance

We enforce applicable Meta Platform Terms, Meta Developer Policies and YouTube API Services Terms against users. We may restrict, suspend or remove access when directed by a connected platform or required to protect users, platforms or the service.

11. Fees, availability and changes

Some features may be free and others paid. Applicable pricing, currency, billing frequency and taxes will be shown before purchase. We do not guarantee uninterrupted or error-free operation and may add, change or discontinue features, with reasonable notice for material reductions where practicable.

12. Intellectual property

SmartNetra and Simino Social names, branding, software, design and documentation belong to SIMINO LABTEST PRIVATE LIMITED or its licensors. Facebook, Instagram, YouTube and other platform names and logos are trademarks of their respective owners.

13. Privacy and deletion

Use of the services is subject to our Privacy Policy. Simino Social deletion options and timelines are described in the public data-deletion instructions. You may also revoke Google access at Google third-party connections.

14. Suspension and termination

You may stop using the services at any time and request account deletion. We may suspend or terminate access for fraud, abuse, security risk, legal requirements, platform instructions, non-payment or material breach. Termination does not remove content already published to a third-party platform.

15. Disclaimers

To the maximum extent permitted by law, the services are provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, non-infringement, successful publication, reach or engagement.

16. Limitation of liability

To the maximum extent permitted by law, SIMINO LABTEST PRIVATE LIMITED is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, revenue, data, goodwill or campaign timing arising from use of the services, failed publication, platform action, token expiry or interruption. Where liability cannot be excluded, aggregate liability for claims in a twelve-month period will not exceed the greater of fees paid for Simino Social in that period or INR 5,000.

17. Indemnification

You agree to indemnify SIMINO LABTEST PRIVATE LIMITED, its directors, employees and agents against claims, losses and expenses arising from Your Content, misuse of the services, breach of these terms or a platform’s terms, or infringement of third-party rights.

18. Governing law

These terms are governed by the laws of India. Courts at Bhubaneswar, Odisha, India have exclusive jurisdiction.

19. Changes to these terms

We may update these terms and will publish the revised version with a new last-updated date. We will provide email or in-product notice when a change is material. Continued use after the change takes effect constitutes acceptance.
